Gamma Agrees £1bn Epiris Takeover: What It Means for FUSION IoT

Gamma has agreed a recommended £1.015 billion cash takeover by the private equity firm Epiris. The billion-pound headline is a telecoms story, but there is an IoT angle worth examining: what private ownership could mean for FUSION IoT, and for the channel that sells it.

The deal, in brief

Gamma Communications has agreed terms on a recommended cash offer from the private equity firm Epiris, made through a vehicle called Bradbury Bidco. The offer values Gamma at approximately £1.015 billion on a fully diluted basis, or around £1.079 billion including debt. Shareholders would receive 1,120 pence per share, a 53% premium to the closing price of 732 pence on 7 April 2026, the last trading day before the offer period began.

The deal is not done. It runs through a court-sanctioned scheme of arrangement and still needs shareholder, antitrust and regulatory approval, with completion expected in the first half of 2027. Epiris saw off rival interest, including a consortium that had reportedly considered breaking Gamma up, so the business is being bought whole. After completion, Epiris plans a strategic review lasting about six months, covering Gamma's three product categories: Calling, Cloud Communications and Connectivity. FUSION IoT sits inside that last one.

What FUSION IoT actually is

Gamma is best known for business communications: SIP trunks, hosted telephony, business broadband, mobile and Microsoft Teams integration, sold largely through a channel of resellers and managed service providers. FUSION IoT, which entered Gamma's portfolio through its acquisition of Epsilon in Germany, extends that model to connected devices.

The service offers single-network and multi-network IoT SIMs with direct access to mobile networks, managed through a single portal that handles activation, monitoring, alerts, data pooling, private APNs, fixed IP addressing and IMEI locking. SIM formats run from standard and rugged industrial cards to soldered eSIM and removable physical eSIM, across 2G through 5G plus the low-power technologies NB-IoT and LTE-M. This is a competent connectivity-management product, not a thin reseller SIM.

That distinction matters, because selling an IoT connection is the easy part. Supporting it for the life of a deployment is where the work begins. A device installed hundreds of miles away that suddenly stops reporting needs diagnosis, not a login page. Why the channel is the point

There is no shortage of IoT connectivity providers in the UK. Wireless Logic, Eseye, CSL, Onomondo, floLIVE, KORE and 1NCE all supply IoT SIMs and management platforms, as do the mobile operators themselves. Gamma's advantage is not radically different coverage. It is distribution.

Thousands of UK businesses already buy their broadband, phone systems, mobile contracts and IT support through regional telecoms providers and managed service providers, many of which have long-standing Gamma relationships. Those same businesses are now connecting alarms, energy systems, signage, CCTV, payment terminals, vehicle equipment and building controls. FUSION IoT lets an existing partner add connected devices to a relationship the customer already has, which makes IoT easier to buy, particularly for the small and medium deployments that rarely attract a large global provider.

The open question

Gamma can supply the platform, the SIMs and the network relationships, but the reseller still has to understand the application. Connecting fifty alarm panels is not the same as moving fifty mobile phone contracts.

The re-alignment this fits into

Step back and the takeover fits a wider pattern. The mobile operators are being pushed to decide what they want IoT to be. Some are stepping back to protect higher-margin consumer businesses; others are partnering with specialists to fix the economics. Vodafone has carved its IoT unit into a separate business with hyperscaling ambitions, a move we covered in our Vodafone IoT explainer, and Telenor has folded its managed IoT connectivity into a joint venture, which we examined in the Telenor Connexion deal analysis.

Against that backdrop, a channel-led player expanding into IoT is the same story from a different direction. Where the specialists compete on depth, Gamma competes on reach. Consolidation is reshaping the specialist tier too: Com4, a Nordic IoT operator we profiled recently, is now part of Wireless Logic. The market is sorting itself into a handful of large managed-connectivity platforms and a broad channel that resells them.

What Epiris ownership could, and could not, mean

Private equity ownership is often described as a route to investment, and Epiris does say it intends to back Gamma's products, sales execution and use of artificial intelligence. Epiris is also not new to connected technology. It owns Sepura, which supplies mission-critical TETRA radio to emergency services and utilities, and Appello, a technology-enabled care provider whose alarms depend on devices staying reachable. That is useful experience, because it suggests an owner that understands why an industrial connection cannot simply drop off the network.

The less comfortable half of the story is that the strategic review cuts both ways. The same process that allows for investment and acquisitions also allows for disposals and cost control. IoT connectivity does have the recurring, sticky revenue that private equity likes, since devices stay deployed for years and customers become dependent on the platform. The challenge is scale. A few thousand low-usage SIMs do not fund a serious support operation. Gamma will need volume, higher-value management services or larger managed deployments to make FUSION IoT matter strategically, and its channel is the most plausible route to that volume.

What partners and buyers should watch

For now, nothing has changed. The deal has not completed, the review has not started, and no customer should switch provider because of an announcement. Deployments planned to run for five, ten or fifteen years should, though, use the moment to ask harder questions, whichever provider is on the table. The questions worth asking include:

  • Which underlying networks and roaming agreements sit behind the service?
  • Who controls the SIM profiles and the routing of customer data?
  • Can SIMs or profiles be migrated if commercial terms change?
  • What eSIM standards are supported today, and is SGP.32 on the roadmap?
  • Is there genuine second-line IoT support, or is the reseller expected to diagnose the whole solution?

That eSIM question is the one to press. The emerging SGP.32 standard is designed to make profile management practical for constrained, remotely deployed devices, and providers that combine suitable hardware, profile management and access to several networks will hold a stronger long-term position than those simply reselling roaming SIMs. Gamma has not framed the Epiris deal as an SGP.32 investment, but it is a fair thing to ask about the FUSION IoT roadmap.

A telecoms deal with an IoT footnote

The Epiris acquisition of Gamma is not, primarily, an IoT story. Gamma is a much broader communications business, and FUSION IoT is one line in a large catalogue. It would be wrong to call this an IoT takeover. What it does show is that the line between business telecoms and IoT connectivity is fading. Traditional providers want to sell beyond voice and broadband, their customers are connecting more machines, and the channel wants products it can resell without building a network. Whether FUSION IoT becomes significant now depends on where the review lands.

Does the Epiris takeover change FUSION IoT contracts or pricing now?

No. The deal has not completed and is expected to close in the first half of 2027, with a strategic review following that. Existing FUSION IoT services and contracts are not changed by the announcement itself.

What is Gamma FUSION IoT?

It is Gamma's IoT connectivity and SIM-management service, offering single-network and multi-network IoT SIMs, a management portal and a range of SIM formats, sold largely through Gamma's reseller channel.

Is the Epiris deal an IoT acquisition?

No. Gamma is a broad business communications company and FUSION IoT is one part of its Connectivity category. IoT was not cited as the reason for the takeover, though it sits inside the portfolio Epiris intends to review.

Should IoT buyers switch providers because of the takeover?

There is no immediate reason to. Buyers with long-life deployments should, though, ask any provider about network and roaming arrangements, profile and data control, SIM portability, SGP.32 support and the depth of second-line IoT support.
